ZendoLead - Terms of Service

Welcome to ZendoLead, a platform operated by Intellixio. These Terms of Service (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“Customer,” “Seller,” “you,” or “your”), and Intellixio(“Company,” “we,” “us,” or “our”).

ZendoLead is a programmatic lead acquisition marketplace that allows business users to connect with verified, high-intent commercial leads via a credit system. By creating an account, purchasing Credits, or accessing the Service, you agree to be bound by these Terms and our ZendoLead Privacy Policy.

If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

1. Description of Service

1.1 The Platform

ZendoLead provides a SaaS platform where businesses can connect with potential prospects (“Leads”) that have voluntarily submitted or verified their details via our website inquiry forms. Intellixio aggregates these Leads by utilizing “ZendoWhisper” (our internal AI agent) to engage users and direct them to our secure web forms for final qualification and consent submission. We employ measures to ensure Leads represent they are of legal age (18+) and have genuine interest.

1.2 Automated Nature of Service

ZendoLead is a fully automated SaaS platform. While our ZendoWhisper agent assists in user interaction and traffic direction, the final data collection and consent submission occur securely through our web infrastructure. Human involvement is strictly limited to technical maintenance, AI model training, and internal quality assurance audits. We do not provide manual lead generation services, telemarketing, or human agency representation.

2. Lead Acquisition and Credits

• The Unlock Mechanism: We display partial, anonymized information about potential Leads to you for free. To view the full contact details (e.g., name, phone number, email), you must “Unlock” the Lead.
• Credits: Unlocking a Lead requires the expenditure of “Credits.” Credits are a virtual currency that you must purchase in advance from Intellixio. Credits have no monetary value outside of the ZendoLead platform and cannot be transferred to other accounts or third parties.
• Pricing: The price per Credit and the Credit cost per Lead are subject to change at our discretion. Current pricing is displayed within the application dashboard.

3. Refunds and Defective Leads

We strive for high-quality data, but we acknowledge that data decay occurs. We offer a fair refund policy for specific cases of data inaccuracy.

3.1 Qualifying for a Refund (Credit Return)

You may request a refund of the Credits spent on a specific Lead ONLY if one of the following “Defective Lead” criteria is met within 72 hours of unlocking:

• The phone number is disconnected or invalid.
• The email address bounces (hard bounce).
• The Lead explicitly confirms they never inquired about the relevant product/service category.

3.2 Refund Process

To claim a refund, you must use the “Report Issue” feature in the dashboard. If verified by our system, the Credits will be returned to your ZendoLead balance.

3.3 No General Cash Refunds

Except as required by applicable law or specifically approved by Intellixio management, purchases of Credits are non-refundable. We do not provide cash refunds for unused Credits.

4. Customer Responsibilities and Acceptable Use

Upon unlocking a Lead, Intellixio grants you a limited, non-exclusive right to contact that Lead for business purposes related to the interest they expressed. You agree to:

4.1 Compliance with Laws

You are the sole “Sender” of any communication initiated after unlocking a Lead. You agree to comply with all applicable marketing and privacy laws (e.g., GDPR, CAN-SPAM, TCPA, CCPA) when contacting Leads. You shall not use the Leads to send spam, harassing, or illegal content.

4.2 No Resale

You are strictly prohibited from reselling, redistributing, publishing, or making the Lead data available to third parties. The Leads are for your internal business use only.

4.3 Lead Consent Context

You acknowledge that Leads have provided explicit consent to Intellixio via our secure Website Form Submissions to receive information and offers from partners. You must identify yourself clearly in your first contact and provide an opt-out mechanism. If a Lead opts out, you must immediately cease contacting them.

5. Intellectual Property

• Ownership: Intellixio retains all rights, title, and interest in the ZendoLead platform, the internal AI tools used to source leads, and the database of Leads (prior to unlock).
• License to Data: Upon successfully unlocking a Lead using Credits, you are granted a perpetual, non-exclusive license to use that specific Lead's data for your own business marketing purposes, subject to the restrictions in Section 4.

6. Disclaimers

6.1 No Guarantee of Conversion

Intellixio provides Leads based on expressed interest and qualification. However, WE DO NOT GUARANTEE THAT ANY LEAD WILL PURCHASE YOUR PRODUCT OR SERVICE. Conversion depends on your sales process, pricing, and market conditions.

6.2 AI Accuracy

Our internal AI (ZendoWhisper) uses advanced natural language processing to gauge intent. While highly accurate, AI may occasionally misinterpret a user's intent. You accept the Leads on an “AS IS” basis, subject only to the Defective Lead Refund Policy in Section 3.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIXIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR CREDITS IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Intellixio, its affiliates, and employees from any claims, damages, or expenses arising out of: (a) your use of the Leads (including any claims of spam or illegal contact by the Leads against you); (b) your violation of these Terms; or (c) your violation of any third-party rights or applicable laws.

9. Term and Termination

We reserve the right to suspend or terminate your account immediately if you breach these Terms (e.g., by reselling data or abusing the refund policy). Upon termination for breach, any unused Credits will be forfeited without refund.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Bangladesh. Any dispute arising from these Terms shall be resolved through binding arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act of Bangladesh.
