ZendoLead - Terms of Service

Welcome to ZendoLead, a product of Intellixio. These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("Customer," "you," or "your"), and Intellixio ("Company," "we," "us," or "our"). These Terms govern your access to and use of our AI-powered autonomous sales agent service ("ZendoLead" or the "Service").

By creating an account, clicking "I Agree," or by accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and our ZendoLead Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of a business, you represent that you have the authority to bind that entity and its affiliates to these Terms.

If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

1. Description of Service

ZendoLead is an end-to-end, autonomous AI sales agent designed to handle the top-of-funnel sales process. The Service independently sources potential business leads and engages them in conversations using a knowledge base provided by you. The purpose of the Service is to deliver qualified leads to you for final closing. The methods, algorithms, and processes used for lead sourcing are proprietary and are not disclosed to the Customer.

2. Customer Responsibilities and Obligations

Your use of the Service is conditioned on your adherence to the following responsibilities.

2.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and to notify us immediately of any unauthorized use.

2.2 Knowledge Base Content

You are solely responsible for providing and maintaining an accurate, lawful, and up-to-date business knowledge base (the "Knowledge Base") for the AI's training. You warrant that you own or have all necessary rights, licenses, and permissions to use the content you provide. We are not liable for any issues, miscommunications, or lost opportunities arising from outdated or incorrect information you provide.

2.3 Legal Compliance for Communications

You acknowledge and agree that you are the initiator of all communications sent by the Service on your behalf. As such, you are solely responsible for ensuring that your use of the Service complies with all applicable local, national, and international laws and regulations. This includes, but is not limited to, data privacy laws (e.g., GDPR, CCPA), anti-spam legislation (e.g., CAN-SPAM), and telemarketing rules. You are responsible for conducting any necessary assessments, such as a Legitimate Interest Assessment (LIA) under GDPR, to ensure the lawfulness of your lead generation activities.

3. Acceptable Use Policy

You agree not to use the Service, nor instruct the AI (via the Knowledge Base), to:

  • Engage in any illegal, fraudulent, deceptive, or unethical activity.
  • Provide a Knowledge Base containing misleading, false, or defamatory content.
  • Infringe upon any third party's intellectual property, privacy, or other rights.
  • Generate leads for industries we deem, in our sole discretion, to be high-risk or inappropriate, including but not limited to multi-level marketing, illegal substances, hate speech, or adult services.
  • Attempt to reverse-engineer, decompile, or otherwise discover the source code or underlying AI models of the Service.
  • Transmit any viruses, malware, or other malicious code.

A violation of this policy constitutes a material breach of these Terms and may result in immediate suspension or termination of your account without refund.

4. Subscription and Payment

  • Fees and Billing: You agree to pay all fees associated with your subscription plan in advance. All fees are exclusive of taxes, which you are responsible for paying.
  • Cancellation: You may cancel your subscription at any time. Your subscription will remain active until the end of the current billing period. Fees are non-refundable.
  • Price Changes: We reserve the right to modify our pricing. We will provide at least thirty (30) days' notice of any price changes for your subscription.

5. Intellectual Property Rights

  • Our Intellectual Property: ZendoLead and its original content, features, and functionality—including its software, AI models, algorithms, and proprietary lead sourcing methods—are and will remain the exclusive property of Intellixio.
  • Your Intellectual Property: You retain all ownership rights to the content you provide in your Knowledge Base.
  • License to Us: You grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, and process your Knowledge Base solely to provide, maintain, and improve the Service for you.
  • Service Output: You own the final qualified lead reports and associated conversation summaries ("Output") generated for you by the Service.
  • AI Model Training: To improve our Service, we may use data from your Knowledge Base and Service Output in an anonymized and aggregated form to train our core AI models. Your confidential, identifiable business information will never be used to train models for other customers.

6. Confidentiality

Both parties agree to treat the other's non-public business, technical, or financial information as confidential and not to disclose it, except as required by law or to perform obligations under these Terms.

7. Disclaimers and AI Limitations

7.1 "AS IS" AND "AS AVAILABLE" SERVICE

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR EXPECTATIONS REGARDING THE QUALITY, QUANTITY, OR CONVERSION RATE OF LEADS.

7.2 AI-GENERATED CONTENT DISCLAIMER

YOU ACKNOWLEDGE THAT THE SERVICE UTILIZES ARTIFICIAL INTELLIGENCE. THE OUTPUT IS GENERATED BY AI AND MAY CONTAIN INACCURACIES, ERRORS, OR POTENTIALLY OFFENSIVE CONTENT. THE OUTPUT IS NOT A REPRESENTATION OR STATEMENT MADE BY INTELLIXIO AND DOES NOT CONSTITUTE PROFESSIONAL OR LEGAL ADVICE.

7.3 RESPONSIBILITY TO REVIEW

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING ALL OUTPUT FROM THE SERVICE FOR ACCURACY AND APPROPRIATENESS BEFORE ACTING UPON IT. YOU AGREE TO HOLD INTELLIXIO HARMLESS FROM ANY CLAIMS, DAMAGES, OR LIABILITIES ARISING FROM THE OUTPUT.

8. Limitation of Liability

8.1 EXCLUSION OF INDIRECT DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INTELLIXIO OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8.2 MONETARY CAP ON LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF INTELLIXIO FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Intellixio and its affiliates, officers, and employees from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms; (c) the content of your Knowledge Base; or (d) your violation of any applicable law or the rights of a third party, including any claim made by a sourced lead.

10. Term and Termination

These Terms are effective upon your first use of the Service and continue as long as you have an account. We reserve the right to suspend or terminate your account immediately, without notice, for any breach of these Terms. Upon termination, your right to use the Service will cease. Provisions that by their nature should survive termination shall survive, including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification.

11. General Provisions

  • Governing Law and Dispute Resolution: These Terms are governed by the laws of Bangladesh. Both parties agree to resolve any dispute through final and binding arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce. The arbitration will be held in Dhaka, Bangladesh, in English.
  • Changes to Terms: We may modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes. Your continued use of the Service after such changes constitutes your acceptance.
  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service.
